These Terms of Service (“Terms”) govern the services offered by Verbs Inc, a public-facing education initiative of Verbs Consulting LLC, a Pennsylvania-registered business. By enrolling in a tutoring session or course offered by Verbs Inc, you acknowledge and agree to the following terms. If you do not agree, you should not use our services.

Definitions

  • An Instructor is a Verbs team member who facilitates or guides a live course session with a group of learners.
  • A Tutor provides individualized or small-group academic support outside of a course structure

These roles do not imply licensure or certification and are used solely to describe Verbs Inc service roles.Some individuals may serve in both capacities.

These Website Terms of Service (“Terms”) govern your use of this website, (https://verbsinc.com), including all content, features, and services offered herein or through associated domains operated by Verbs Consulting LLC (“Verbs,” “Verbs Inc,” “we,” or “our”). By accessing this website (“Site”), you agree to be legally bound by these Terms. If you do not agree, do not access or use the Site.

Use of Site

The Site is provided for informational and educational purposes. You may use this Site only for lawful purposes and in accordance with these Terms. Verbs Inc reserves the right to deny access to the Site at its discretion, including for any violation of these Terms.

Site Content and Intellectual Property

All materials on the Site, including text, videos, graphics, downloads, course descriptions, worksheets, logos, and branding elements (“Materials”) are the intellectual property of Verbs Consulting LLC, unless otherwise noted. No Material may be copied, reproduced, modified, distributed, published, or transmitted in any form without our express written permission.

You are granted a limited, non-exclusive, revocable license to access and use the Site for personal, non-commercial use only. Any unauthorized use may violate copyright, trademark, and other applicable laws.

User Conduct

You agree not to:

  • Violate any applicable laws or regulations.
  • Interfere with or disrupt the Site’s functionality or servers.
  • Attempt unauthorized access to the Site or systems.
  • Introduce viruses, worms, or harmful code.
  • Copy, scrape, or harvest content or user data.
  • Misrepresent your identity or impersonate any individual or organization.

Third-Party Services and Links

Verbs Inc may link to or integrate third-party services (such as MindPrint Learning™, Google Workspace, Desmos, etc). These services are governed by their own terms and privacy policies. Verbs Inc is not responsible for the content, accuracy, or policies of third-party platforms.

Limitation of Liability

This Site and its content are provided “as is” without warranty of any kind. We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. Verbs Inc does not guarantee uninterrupted or error-free functionality.

To the fullest extent permitted by law, Verbs Consulting LLC is not liable for any direct, indirect, incidental, special, or consequential damages that result from your use of or inability to use the Site.

Indemnification

You agree to indemnify, defend, and hold harmless Verbs Consulting LLC, its officers, employees, contractors, and affiliates from and against any claims, liabilities, losses, damages, or expenses (including attorney’s fees) arising from your use of the Site, your violation of these Terms, or your infringement of any rights of a third party.

Changes to Terms

We reserve the right to modify these Terms at any time without individual notice. Updated Terms will be posted to this page. Continued use of the Site after any such changes constitutes acceptance of the revised Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions.

Severability

If any provision of these Terms is deemed unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

TUTORING SERVICES AND COURSES

Overview of Services

Verbs Inc provides both one-on-one and group tutoring sessions, as well as live online academic courses. Services are offered under the umbrella of Verbs Consulting LLC and are not affiliated with any public or private school, school district, or accreditation body.

Registration and Eligibility

Verbs Inc educational services are available to students in Grade 4 and above. Registration may only be completed by a parent or legal guardian if the student is under 18 years of age. By completing registration and payment, the registering party agrees to these Terms of Service and any supporting policies.

Payment Terms

  • Tutoring Sessions:
    • One-on-one sessions are invoiced monthly. Payments are due on either the 1st or 15th of each month, as agreed during enrollment. A 7-day grace period is provided. After this period, a late fee of 5% of the outstanding balance may be added. If payment is not received within 15 days, services will be temporarily suspended until the account is brought current.
    • Clients must notify Verbs Inc of a cancellation at least 24 hours in advance to avoid being billed for that session.
    • Completed tutoring services are not refundable.
  • Courses:
    • Courses must be prepaid in full at time of registration.
    • Refunds
      • Full refund if requested before the registration deadline.
      • 50% refund if requested after the registration deadline but before the course begins.
      • No refunds will be given after the course has started.
      • Due to limited spots, late withdrawals may impact other students’ ability to participate, and this policy reflects that constraint.

Code of Conduct and Attendance

Verbs Inc is committed to creating a respectful, focused, and supportive learning environment.

  • Obligations of the Instructor
    • Instructors are expected to prepare for and guide course sessions with clarity and purpose. Their role includes creating space for skill-building, exploration, and discussion. Instructors are not responsible for completing a learner’s outside work or tasks, nor do they assess students for grades or formal credit.
  • Obligations of the Tutor
    • Tutors support students in understanding content, building confidence, and developing personalized strategies. While tutors may offer practice opportunities or suggest resources between sessions, Verbs does not assign mandatory homework or issue grades. Students and families are encouraged to use suggestions at their discretion.
  • Expectations of Students and Families.
    • Learners are encouraged to arrive prepared, engage respectfully, and share areas where they’d like support. Our learning environments are built on trust, flexibility, and mutual respect. Repeated absences, disruptive behavior, or lack of communication may result in a reevaluation of fit or removal from services.
  • Attendance Policy:
    • Learners enrolled in group courses who repeatedly miss sessions without communication may lose their reserved spot to another student.

Platforms and Access

Verbs Inc uses Google Workspace tools (including Google Meet, Google Classroom, Docs, and Drive), as well as Desmos and other third-party platforms. Participants will be given access via the email address used during registration. No proprietary participant portals are in place. Sessions are not recorded unless otherwise noted and with prior approvals and consent, but AI-powered note-taking tools such as Gemini may be used for recordkeeping purposes.

Third-Party Tools and Services

Our services may include assessments, activities, or integrations powered by third-party platforms such as MindPrint Learning™ , Google Workspace, Desmos and other services. Use of these tools is governed by their respective privacy and terms policies. By registering, you consent to your or your child’s use of these third-party platforms.

Intellectual Property

All content, curriculum, materials, lesson recordings, worksheets, and documents provided by Verbs Inc are the intellectual property of Verbs Consulting LLC. These materials may not be shared, copied, republished, or used outside the scope of registered participation without express written permission.

Disclaimer of Warranties

Verbs Inc provides tutoring and educational services on an “as is” basis. We make no guarantees regarding academic outcomes, student performance, admission results, or satisfaction. We disclaim liability for technology failures, service disruptions, scheduling conflicts, or dissatisfaction with instruction style.

Consent and Communication

By registering for services, you agree to receive communications via email, phone, and/or text regarding scheduling, billing, and program updates. Verbal or written consent obtained through registration, email, or phone call is valid and enforceable.

Limitation of Liability

To the fullest extent permitted by law, Verbs Consulting LLC shall not be liable for any indirect, incidental, or consequential damages arising out of or relating to participation in tutoring or courses. Participation is voluntary and subject to parental discretion where applicable for participants under the age of 18.

By registering, you waive all claims related to instructional services, conduct of individual instructors or tutors, or technical interruptions, even if such issues were foreseeable.

We do not guarantee results or specific progress. Our services are designed to support learning and exploration, but individual outcomes may vary.

Right to Refuse or Terminate Services

Verbs Inc reserves the right to discontinue services at any time due to abuse, harassment, disrespectful behavior, or repeated policy violations. This applies to both students and families. We also reserve the right to discontinue instruction for any reason deemed professionally appropriate, with notice provided.

Non-Affiliation Statement

Verbs Inc is an independent educational service operated by Verbs Consulting LLC. We are not affiliated with, endorsed by, or acting on behalf of any school district, government agency, or accredited institution. Our services are not a substitute for formal schooling and do not confer academic credit. Any past, present, or future employment or affiliations held by our instructors or tutors are entirely independent of their work with Verbs Inc.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania.

Entire Agreement

These Terms of Service constitute the full agreement between you and Verbs Consulting LLC regarding tutoring and educational services. Any modifications must be made in writing. Where the student is a legal minor, the parent or guardian assumes responsibility for agreeing to these terms on their behalf.

Severability

If any portion of these Terms is found to be unenforceable under applicable law, all remaining provisions will remain valid and enforceable.
